Terms and Conditions

These terms describe the general conditions for engaging Momin Consulting. Any signed proposal or contract takes precedence where explicitly stated.

2. Scope of Application

These terms apply to all consulting services delivered by Momin Consulting, including software development, architecture, integrations, advisory, and support.

3. Services and Scope

Deliverables, timeline, responsibilities, and scope boundaries are agreed in writing in a proposal, statement of work, or project description.

Scope or priority changes may affect timeline and pricing and require approval by both parties.

4. Proposals and Agreement Formation

An engagement is considered active when a proposal is accepted in writing or work starts based on client approval.

Unless otherwise stated, proposals are valid for 14 days from issuance.

5. Pricing, Invoicing, and Payment

All prices are in DKK excluding VAT unless otherwise stated. Invoicing follows the agreed commercial model, such as time-and-materials or milestone-based billing.

Payment terms are net 8 days unless otherwise agreed. Late payments may be subject to interest and reminder fees under applicable law.

6. Collaboration and Client Responsibilities

The client must provide necessary information, access, and decisions in due time. Delays in client input may result in timeline and budget adjustments.

7. Cancellation, Pause, and Termination

Pausing or terminating an engagement requires written confirmation. Work performed up to termination is billable.

If reserved capacity is canceled on short notice, reasonable compensation may be charged based on the concrete circumstances.

8. Confidentiality and Intellectual Property

Both parties must treat confidential information as confidential. Deliverables, code, and documentation are transferred as specified in the relevant agreement.

General know-how, experience, and reusable methods remain with the party that developed them.

9. Liability

Momin Consulting is liable under Danish law for direct losses demonstrably caused by material breach.

Liability does not include indirect losses, loss of profits, loss of data, or consequential damages, unless such limitation is prohibited by law.

10. Governing Law and Venue

The engagement is governed by Danish law. Disputes should first be addressed amicably and otherwise resolved by Danish courts.
